Our client, a publicly traded technology company in the media and entertainment space, is seeking to add a Senior Director, Business & Legal Affairs to their in-house legal team in Los Angeles. As Senior Director, Business and Legal Affairs you will be responsible for overseeing a wide range of legal matters, negotiating and drafting contracts, and advising on business strategies. You will have the opportunity to negotiate global deals involving a range of e-commerce applications, including (i) sponsorship and advertising opportunities, (ii) technology integrations with websites, apps and social media platforms, (iii) retail pricing consultation services, and to shape the relationships the company has with brand partners. You will advise the business on legal matters directly affecting business development and be part of be a wider professional, dynamic, friendly, and experienced global legal team.

Select Responsibilities

Reporting directly into the SVP and Senior Counsel – Legal Affairs, you will primarily be responsible for:

  • Drafting, reviewing, and negotiating all types of contracts, from complex, high-dollar value, commercial contracts, novel outbound services agreements, affiliate agreements, consulting services agreements and enterprise MSAs to standard technology license agreements, vendor and supplier agreements, procurements, insertion orders, SOWs, SaaS agreements, SLAs and NDAs.
  • Drafting, reviewing, and negotiating advertising and media marketing deals (purchase and sale).
  • Developing and implementing best-in-class contract templates.
  • Advising business stakeholders regarding legal and practical issues related to contractual obligations and regulatory requirements.
  • Comfortably and confidently handling transactions without precedent and providing advice to internal teams on novel legal issues.
  • Advising leadership on legal implications of business decisions and providing proactive guidance to minimize legal exposure.
  • Collaborating with cross-functional teams to provide legal support and guidance in developing and executing global business strategies, with a consistent but locally relevant approach.

Select Requirements

  • JD from accredited law school and applicable state bar membership in good standing.
  • 6-10+ years of experience at an internationally/nationally-recognized law firm or in-house legal department (combination of 4+ years at a law firm and 3+ years in-house strongly preferred).
  • Experience leading negotiations with large global companies.
  • E-commerce, media and technology experience strongly preferred.
  • Excellent contract drafting skills, including developing templates, structuring novel deals, and reviewing and negotiating multi-party agreements.
  • Excellent organizational and oral and written communication skills.
  • Ability to explain complex legal matters clearly and concisely to non-specialists and advise the business and subject matter experts persuasively and with confidence.
  • Skilled at working across cross functional teams both locally and globally within the company.
  • A team player with a collaborative attitude that can communicate effectively with various internal functions.
