A fast-growing insurance business is looking to recruit a talented Paralegal/ Corporate Governance Professional to support its Legal and Compliance teams. This is an excellent opportunity to join a dynamic and expanding insurance organisation.

Role Overview

Reporting to the Head of Legal, the successful candidate will be responsible for a range of legal and company secretarial duties, ensuring compliance with regulatory requirements and supporting business operations.

Key Responsibilities

  • Contract Management: Draft, review, and amend routine contracts, non-disclosure agreements, and variation agreements.
  • Risk & Compliance: Interpret contractual terms for stakeholders, identify areas of risk, and propose suitable alternatives.
  • Company Secretarial Support:
    • Assist with drafting and execution of corporate documents, including board and shareholder minutes, agendas, work plans, and resolutions.
    • Maintain corporate entity management databases, including officer and director appointments and corporate records.
    • Prepare board and committee meeting materials and meeting packs.
  • Mergers & Acquisitions Support:
    • Assist with due diligence, data site management, and transaction documentation review.
    • Support closing and post-closing processes for corporate transactions.

Candidate Requirements

  • At least five years’ experience as a Paralegal or Corporate Governance Professional, ideally within the financial services sector.
  • Strong organisational skills and attention to detail.
  • Ability to build and maintain effective relationships with stakeholders at all levels.
