Director – Company Secretary
Key Responsibilities
Corporate Governance: Oversee the corporate governance framework, ensuring compliance with statutory and regulatory requirements, and best practices.
Board Support: Prepare and distribute board materials, including agendas, minutes, and reports; facilitate board meetings and ensure effective communication between the board and management.
Regulatory Compliance: Monitor changes in relevant legislation and the regulatory environment, advising the board on necessary actions to maintain compliance.
Risk Management: Identify and assess corporate governance risks and develop strategies to mitigate them.
Stakeholder Engagement: Act as the primary point of contact for shareholders and other stakeholders on governance matters.
Policies and Procedures: Develop, implement, and maintain corporate policies and procedures to support governance and compliance.
Training and Development: Provide training and guidance to directors and management regarding governance practices and regulatory requirements.
Reporting: Prepare and present reports on governance activities to the board and relevant committees.
Qualifications
Bachelor’s degree in Law, Business Administration, or a related field; a Master’s degree or professional qualification (e.g., ICSA) is preferred.
Minimum of 10 years of experience in corporate governance, compliance, or a related field, with at least 5 years in a leadership role.
In-depth knowledge of corporate law, regulatory frameworks, and best practices in governance.
Strong analytical and problem-solving skills, with the ability to interpret complex legal and business issues.
Excellent written and verbal communication skills, with the ability to engage and influence stakeholders at all levels.
Proven track record of managing multiple projects and priorities in a fast-paced environment.
