US Legal Counsel

Location: Hybrid, Frisco, TX

I am working with a high-growth management consultancy specializing in industries including financial services, life sciences, luxury & fashion, and media & technology. With entities in both the UK and the US, the company provides expertise in organizational breakthroughs, innovation, consumer insights, data and analytics, AI solutions, and branding/digital marketing.

The company is looking to hire their first In-House Counsel in the US. This role will focus on commercial and corporate law, reporting to the General Counsel and providing legal support from their Frisco office for clients across California, Texas, New York, and Chicago.

Responsibilities:

  • Review, draft, and negotiate a wide range of international commercial contracts, including engagement and service contracts.
  • Support senior leadership in client engagements and contract negotiations.
  • Provide legal advice on acquisitions, including due diligence and post-completion matters, working with external counsel as needed.
  • Collaborate with the operations team on internal matters such as commercial contracts, employment agreements, share options, policies, data protection, and post-acquisition integration.
  • Contribute to the development of a senior role within the legal department.

Experience:

  • Admitted to practice in California, Texas, or New York.
  • Minimum of 4 years post-qualification experience at a reputable US or international law firm.
  • Previous in-house experience in a fast-growth environment.
  • Solid knowledge of commercial contracts, including intellectual property and data protection issues, along with a strong understanding of liability and indemnities.
  • Experience in corporate governance.
  • Strong written and oral communication and drafting skills.
  • Excellent attention to detail and sound pragmatic judgment.
